Constitution of the MX5 Owners Club of Southern Africa -Revised Nov 2023

1. NAME

The name of the club shall be “The MX5 Owners Club of Southern Africa” and shall be of force and effect on any Branch that has adopted it by Resolution.

2. AIMS

2.1. To foster camaraderie between MX5 owners through social events and meetings.

2.2. To maintain the highest standards of operation and performance by sharing and exchanging technical and mechanical information.

2.3. To organize various social sporting and competitive events, such as may be decided by the Club.

2.4. To promote the very best relations with Mazda SA, Mazda Japan other MX5 Clubs worldwide and the dealer network to the mutual benefit of all parties.

2.5. To foster a close Club spirit through social contact, offering help and advice to all members.

2.6. To keep members informed of all MX5 Owners Club activities through the publication of a regular newsletter or other ways of communication e.g., e-mail.

2.7. To order, on request MX5 regalia such as caps, badges, shirts, jackets etc. as requested by members. It is not required that regalia stock be kept.

2.8. To offer a For Sale and Wanted column for members via the Club newsletter (pertinent only to MX5 vehicles and parts).

2.9. To update the MX5 Owners Club activities on FaceBook, WhatsApp, Instagram and other social media available.

3. MEMBERSHIP

3.1. All owners or drivers of a Mazda MX5 may become members.

All memberships are subject to Terms and Conditions in particular the Waiver of Rights , Indemnity and Club Rules

3.2. Family members of a Club member may attend all Club functions.

3.3. The committee shall have the right to reject any membership application without disclosing its reasons.

3.4. Each member has one vote

3.5. Membership is dependent on the annual payment of Club fees.

3.6. Country membership will be available to all who reside in excess of 160km from Kyalami.

3.6.1. Country and Student membership fees will be at 60% of the full membership fee

3.7. Honorary Membership may be conferred on individuals or organizations for one-year duration from the time of the AGM.

3.7.1. Honorary members pay no fees, have a full vote, and may serve on the committee.

3.8. MX5 drivers that are Non-Members can, on invitation participate in social functions. Committee members and members should encourage MX5 drivers to become members.

3.9. Associate membership may be conferred on members who have pre-qualified as owning an MX5 and have, for whatever reason, disposed of the MX5, but wish to remain a member of the club.

3.9.1. Associate members will have no vote.

4. SUBSCRIPTIONS

4.1. The membership fees will be determined by the committee

4.2. Subscriptions will cover the period 1 March to 28 February and are payable in advance.

4.3. Subscriptions and any other revenue will be utilized in the interests of the Club as determined by the committee.

4.4. All monies shall be paid into an account opened in the name of the MX5 Owners Club of Southern Africa.

5. COMMITTEE

5.1. The committee will consist of:

5.1.1. A Chairperson

5.1.2. A Vice-Chairperson

5.1.3. A Secretary

5.1.4. A Treasurer

5.1.5. As many other Club Members as necessary

5.1.6. An Honorary Member representing Mazda SA, with no voting rights

5.2. A quorum will be three voting members.

5.3. A duly elected Chairman shall serve for a period of 2 years and shall automatically be succeeded by the Vice Chairman should this be necessary.

5.4 The committee shall meet as and when required. The committee shall be elected at the AGM of the Club and shall hold office for one year. If no Chairperson is nominated from the floor, the committee will nominate a chairperson. The outgoing chairperson is to assist the new chairperson to ensure a successful handover.

6. NOMINATIONS

The nominations for Chairperson and Member of Committee:

6.1 To be nominated as Chairperson, the member should be a fully paid-up member.

6.2 To be nominated as a member of the committee, the member should be a fully paid-up member.

6.3 The Secretary could also serve as Treasurer if a Treasurer is not called during the meeting.

6.4 The Secretary shall call for nominations at least 30 days prior to the AGM. Nominations shall be in writing and must reach the Secretary at least 7 days prior to the AGM. Each nomination shall state the name and membership number of the proposer and the seconder, together with the nominee’s written consent to being nominated.

6.5 Members’ partners can stand for the committee.

6.6 Non-members cannot stand for the committee and cannot vote.

6.7 Regional Representatives for a geographical area may be appointed. Such Regional Representatives shall promote and manage the local affairs of the members in the region in accordance with the constitution of the Club and guidelines set by the Committee from time to time.

7. MEETINGS

7.1 The Annual General Meeting (AGM) will be held within 90 days of the end of the Club’s financial year.

7.2 The Secretary will notify all members of the venue and time of the AGM at least 30 days in advance.

7.3 All paid-up members for the coming year may vote.

7.4 A Special General Meeting or Extraordinary General meeting will be called, upon the written request of at least 10 members of 50% of the committee or the chairperson.

8. DISCIPLINARY ACTION

8.1 Membership may be suspended by a majority decision of the Committee if it considers the conduct of a member to be prejudicial to the interests of the MX5 Owners Club or its affiliates.

9. CONSTITUTIONAL CHANGES

9.1 The Constitution may be changed by a two-thirds majority at any AGM, or Special General Meeting, or Extraordinary General Meeting.
